| Abstract | Corporate governance and ethical decision-making have become increasingly important areas of organizational research due to growing expectations for transparency, accountability, sustainability, and responsible business conduct. Global enterprises operate across diverse economic, cultural, regulatory, and social environments, creating complex challenges related to ethical choices and governance practices. Effective corporate governance provides a structured framework for balancing stakeholder interests, ensuring responsible leadership, and maintaining organizational integrity. This conceptual study examines the relationship between corporate governance mechanisms and ethical decision-making in global enterprises through perspectives of business ethics, strategic management, stakeholder theory, and organizational accountability. The study analyses how board structures, leadership responsibility, transparency practices, ethical cultures, and regulatory compliance influence organizational decision-making processes. The analysis indicates that strong governance systems improve ethical decision-making by establishing clear responsibilities, monitoring mechanisms, and accountability structures. However, governance effectiveness depends not only on formal policies but also on organizational culture, leadership behaviour, and employee commitment toward ethical values. The study highlights that global enterprises face several challenges, including cultural differences, regulatory complexity, conflicts between profitability and ethical responsibilities, and risks associated with unethical corporate practices. Organizations must therefore develop integrated governance approaches that combine ethical leadership, stakeholder engagement, and sustainable business practices. The study concludes that corporate governance represents more than a compliance mechanism; it is a strategic capability that supports organizational trust, reputation, and long-term sustainability. Enterprises that embed ethical decision-making into governance systems can strengthen stakeholder relationships and achieve responsible global growth. |
